1. Agreement to Terms

Welcome to offgridlogistics.com ("Service"), operated by Off Grid Logistics LLC ("Company," "we," "us," or "our"). By accessing or using our outdoor adventure planning and collaboration application, you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

2. Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

3. Account Registration and Security

Account Creation

To access certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

Account Termination

We reserve the right to suspend or terminate accounts that:

• Are inactive for extended periods
• Engage in fraudulent or illegal activities
• Harm other users or the Service

4. Acceptable Use

• Plan and organize outdoor adventures
• Share trips and collaborate with other users
• Upload photos and documents related to your adventures
• Communicate with other users through our platform
• Use all features as intended for adventure planning

You May Not:

• Use the Service for any illegal purpose or in violation of any laws
• Harass, abuse, or harm another person
• Impersonate any person or entity
• Upload viruses or malicious code
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service for commercial solicitation without our permission
• Scrape or copy content through automated means
• Interfere with or disrupt the Service
• Violate the rights of others, including intellectual property rights

5. User Content

Your Content

You retain ownership of all content you create and share on our Service ("User Content"), including:

• Trip plans and adventure details
• Photos and files
• Comments and messages
• Profile information

License Grant

By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Host, store, and display your content
• Share content with users you've authorized
• Create backups for service continuity
• Modify content for technical requirements (formatting, size)

This license continues only as long as you keep the content on our Service, except for backups which may persist for a reasonable time.

Content Responsibilities

You are solely responsible for your User Content. You represent that:

• You own or have rights to use all content you post
• Your content doesn't violate any laws or third-party rights
• Your content respects the privacy and rights of others

Content Removal

We reserve the right to remove content that:

• Violates these Terms
• Is illegal or promotes illegal activities
• Infringes on intellectual property rights
• We determine is harmful to users or the Service
• Contains harassment or abusive material

6. Shared Content and Collaboration

Sharing Features

When you share content with other users:

• You control who can view and collaborate on your trips
• Shared content remains your property
• Recipients can view and interact based on permissions you set

Group Features

When participating in groups:

• Group content is visible to all group members
• Messages and shared trips persist for other members even if you leave or delete your account
• Group administrators have moderation rights
• Respect group rules and other members

7. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. By using the Service, you consent to our collection and use of information as detailed in the Privacy Policy.

Key points:

• We collect minimal personal data
• We don't sell your information to third parties
• We don't use third-party tracking or advertising
• You can request your data or delete your account anytime

8. Payment Terms

Subscriptions and Billing

Subscription fees are billed in advance on a recurring basis. Your subscription will continue to renew until you or we choose not to renew. You can cancel renewals through your account settings or by contacting support.

Merchant of Record

Your orders are processed by Paddle.com, our online merchant of record. Paddle handles all payment processing, billing, taxes, and refunds. Your relationship with Paddle is governed by their Checkout Buyer Terms (paddle.com/legal/checkout-buyer-terms) and Privacy Policy (paddle.com/legal/privacy).

Refunds

You may request a refund within 14 days by contacting us at support@offgridlogistics.com with your order details, or by visiting paddle.net.

If you delete your account, your subscription is canceled immediately with no refund.

9. Third-Party Services

Our Service may contain links to third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for third-party services, including mapping services, weather providers, or other external resources you may access through links.

10. Intellectual Property

Our Property

The Service and its original content (excluding User Content), features, and functionality are owned by Off Grid Logistics LLC.

Feedback

Any suggestions, comments, or feedback you provide about the Service becomes our property and may be used without compensation to you.

Copyright Infringement

If you believe content on our Service infringes your copyright, please contact us at support@offgridlogistics.com with:

• Description of the copyrighted work
• Location of the infringing material
• Your contact information
• Statement of good faith belief
• Statement of accuracy under penalty of perjury

11. Outdoor Activities Disclaimer

IMPORTANT: Our Service is a planning and collaboration tool only. Outdoor activities involve inherent risks.

You Acknowledge That:

• Outdoor adventures can be dangerous and potentially life-threatening
• You are solely responsible for your own safety, preparation, and decisions
• You should verify all plans, conditions, and information independently
• Weather, trail conditions, and hazards change frequently
• Proper training, equipment, permits, and physical fitness are your responsibility

We Are Not Responsible For:

• The accuracy or completeness of any trip plans or information shared on our Service
• Decisions you make based on information from our Service
• Your safety, preparation, or conduct during outdoor activities
• Accidents, injuries, property damage, or death resulting from your outdoor activities

USE OF OUR SERVICE IS AT YOUR OWN RISK. WE PROVIDE A PLANNING TOOL, NOT SAFETY ADVICE OR GUARANTEES.

12. Disclaimers and Limitations of Liability

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

No Warranty

WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results from the Service will meet your requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFF GRID LOGISTICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Unauthorized access to your data
• User Content or conduct of any third party
• Any outdoor accidents, injuries, or death
• Any matter related to the Service

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS OR $100, WHICHEVER IS LESS.

User Disputes

We are not responsible for disputes between users. You release us from all claims arising from disputes with other users.

13. Indemnification

You agree to defend, indemnify, and hold harmless Off Grid Logistics LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another
• Your outdoor activities or use of trip plans created on our Service

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes:

• We'll notify you via email or prominent notice on the Service
• You'll have 30 days to review changes
• Continued use after changes constitutes acceptance

15. Termination

By You

You may stop using our Service at any time. You can delete your account through your account settings.

By Us

We may terminate or suspend your account immediately, without prior notice, if:

• You breach these Terms
• We're required to by law
• We discontinue the Service
• Continued service creates liability for us

Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your account and content
• See our Privacy Policy for details on data handling upon account deletion
• Provisions that should survive will remain in effect

16. Governing Law and Disputes

Governing Law

These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to try to resolve disputes informally by contacting support@offgridlogistics.com.

Arbitration

Any disputes not resolved informally within 30 days shall be resolved through binding arbitration in accordance with the American Arbitration Association rules. Arbitration will be conducted in Oregon.

Exception: Either party may seek equitable relief in court for intellectual property infringement or other misuse.

Class Action Waiver

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST US.

Time Limitation

Any claim must be filed within one year after it arose.

17. General Provisions

Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Off Grid Logistics LLC regarding the Service.

Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

Waiver

Our failure to enforce any right or provision is not a waiver of that right.

Assignment

You may not assign these Terms without our consent. We may assign our rights to any successor in interest.
